The Proposed Merger
On February 15, 2023, TravelCenters of America entered into an Agreement and Plan of Merger with BP, Bluestar RTM Inc., and Merger Subsidiary. The Merger Agreement entails the merger of Merger Subsidiary with and into TravelCenters of America, resulting in TravelCenters of America surviving the merger. As a result of the merger, each share of TravelCenters of America's common stock will be converted into the right to receive $86.00 in cash.
The closing of the merger is subject to certain conditions, including receipt of the Company Stockholder Approval, absence of court injunctions, expiration or termination of antitrust waiting periods, accuracy of representations and compliance with covenants, absence of material adverse effects, and execution of additional agreements.
