A. Company Overview

Valaris Limited is a prominent global offshore contract drilling company that specializes in providing essential drilling services to the international oil and gas sector. The company's operational footprint spans nearly every major offshore market across six continents. Valaris boasts the largest fleet of offshore drilling rigs in the world, which includes one of the most modern ultra-deepwater fleets and a leading jackup rig fleet. As of December 31, 2023, Valaris maintains ownership of a total of 53 rigs. This fleet comprises 13 drillships, four dynamically positioned semisubmersible rigs, one moored semisubmersible rig, and 35 jackup rigs. Notably, Valaris also holds a 50% equity stake in ARO Drilling, a joint venture with Saudi Aramco that operates an additional eight rigs.

Valaris serves a diverse customer base, which includes leading international oil companies, government-owned entities, and independent operators. The more favorable pricing environment for oil has stimulated increased contracting and tendering activities, leading to a favorable outlook for the offshore drilling sector due to a constrained global supply of available rigs.

B. Contract Drilling Operations

Valaris's business model is structured into four distinct operating segments: Floaters, Jackups, ARO, and Other. Each segment is responsible for specific types of rigs and operations. The Floaters segment encompasses all drillships and semisubmersible rigs, whereas the Jackups segment deals with jackup rigs. ARO represents the joint venture operations, and the Other segment includes management services provided for third-party rigs and lease arrangements with ARO.

As of the end of 2023, Valaris operates its 53 rigs distributed as follows: 16 in the Middle East and Africa, 16 in North and South America, 16 in Europe, and five in the Asia/Pacific region. Each drilling rig is designed to drill and complete oil and natural gas wells, but can also be adapted for various ancillary services such as accommodation, well workovers, plug and abandonment, as well as carbon capture projects.

Contracts with customers are typically negotiated through a competitive bidding process. The specifics of these contracts can vary significantly but generally include terms related to contract duration, optional extensions, early termination clauses, and payment arrangements.

C. Major Customers

The customer base for Valaris is broad, with a significant share of revenue coming from substantial international oil companies, government entities, and independent operators. In 2023, the top five customers constituted approximately 40% of Valaris’s consolidated revenues. BP plc emerged as a particularly notable customer, accounting for 11% of total revenues, classifying Valaris as significantly reliant on a concentrated customer base.

D. Competition

The offshore contract drilling market is characterized by intense competition, with drilling contracts typically awarded based on a competitive bid process. While price remains a crucial factor, additional determinant factors include service quality, operational integrity, equipment availability, technical expertise, and location.

E. Non-U.S. Operations

A significant portion of Valaris's operations is based outside of the United States. In recent years, revenues from non-U.S. markets have accounted for around 80% of total consolidated revenues. Valaris's operations are subject to an array of legal and regulatory frameworks that govern the oil and natural gas industry. These regulations address matters of environmental protection, operational safety, and financial responsibility, and they could potentially impact operating costs or restrict drilling activities due to evolving policies focused on environmental concerns. Compliance with these regulations is critical to maintaining operational viability and minimizing liability.
