A. Company Overview

Phillips 66 is a diversified energy manufacturing and logistics company, primarily focused on the downstream sector of the oil and gas industry. Headquartered in Houston, Texas, it was established as an independent entity in 2011 through a corporate restructuring of ConocoPhillips, aimed at separating its downstream operations. The company became publicly traded on the New York Stock Exchange under the ticker symbol "PSX" after ConocoPhillips distributed shares to its stockholders on April 30, 2012. Phillips 66 operates through four primary business segments: Midstream, Chemicals, Refining, and Marketing & Specialties. Additionally, it includes a Corporate and Other segment, which manages general corporate activities.

B. Corporate Structure

Phillips 66 is structured into four distinct operating segments that encompass various aspects of the energy supply chain:

Midstream

The Midstream segment plays a critical role in transportation and processing within the energy supply chain. It handles the transportation of crude oil, refined petroleum products, and natural gas, facilitating their delivery to various markets. As of December 31, 2023, the segment operated over 72,000 miles of pipeline systems throughout the United States. This segment comprises three key businesses:

  • Transportation: It includes the movement of crude oil and refined products via pipelines, the provision of terminaling and storage services, and the management of marine vessels and railcars for transportation.
  • NGL (Natural Gas Liquids) and Other: This component encompasses the gathering, processing, transportation, and marketing of natural gas and NGLs, aided significantly by DCP Midstream, a leading natural gas processor in the U.S.
  • NOVONIX: This segment reflects a 16% investment in NOVONIX, an innovative company dedicated to the development of materials and technologies for lithium-ion batteries, indicative of Phillips 66's commitment to renewable technologies.

In recent years, Phillips 66 undertook significant mergers, including the consolidation of its interest in DCP Midstream and the acquisition of Phillips 66 Partners, enhancing its operational scope and output capabilities.

Chemicals

The Chemicals segment is anchored by a 50% equity investment in Chevron Phillips Chemical Company LLC (CPChem), which specializes in producing petrochemicals and plastics on a global scale. At the end of 2023, CPChem managed 30 manufacturing facilities and has two research and development centers situated in multiple locations including the United States, Belgium, Colombia, Qatar, Saudi Arabia, and Singapore.

CPChem's product portfolio includes a range of ethylene-based products used to manufacture polyethylene and other olefins, alongside special chemical products such as solvents and catalysts. Recent initiatives include expanding ethylene production capabilities with new facilities slated to come online by 2026, positioning Phillips 66 as a leader in the burgeoning petrochemical industry.

Refining

The Refining segment of Phillips 66 focuses on converting crude oil and various feedstocks into valuable petroleum products, including gasoline, diesel, aviation fuels, and renewable fuels. Phillips 66 operates 12 refineries across the United States and Europe, employing advanced refining technologies such as fluid catalytic cracking and hydrocracking to enhance product yield and efficiency.

Each refinery is strategically located to serve key markets, and the company continuously adapts its operations based on market demand and regulatory requirements. A notable transformation is occurring at the San Francisco Refinery, which is being repurposed for renewable fuels production, aiming for significant emission reductions while expanding its product offerings.

Marketing & Specialties

The Marketing & Specialties segment is responsible for the resale and branding of refined petroleum products, as well as specialty products such as lubricants and base oils. In the United States, Phillips 66 markets its products primarily through its established brands, including Phillips 66, Conoco, and 76, with a strong emphasis on the wholesale channel. As of late 2023, there were approximately 7,260 branded outlets operational across the United States.

Internationally, the company employs a cost-effective high-volume strategy in Europe, operating under the JET brand in several countries. This segment also encompasses marketing activities for aviation fuels, liquefied petroleum gas, and other refined products to commercial customers.

C. Segment and Geographic Information

Operational Reach and Capacity

Phillips 66's diverse operations enable a robust footprint across multiple geographic regions. The company's Midstream segment boasts extensive pipeline and terminaling assets, which are strategically important for connecting production sites to end markets. The international reach is enhanced through various partnerships and joint ventures.

Refining Operational Data

The 12 refineries managed by Phillips 66 demonstrate state-of-the-art refining capabilities and are well-integrated into the overall supply chain. Tailored operations for each facility allow for adaptability to specific regional demands and regulatory landscapes, ensuring a consistent flow of high-demand products.

Global Manufacturing Facilities

In the Chemicals segment, CPChem's facilities are strategically located in major chemical markets around the globe. The completion of large-scale projects signals Phillips 66’s commitment to expanding its capacity and maintaining its competitive edge in the chemicals market.

D. Competition

Phillips 66 faces intense competition in all its business segments from a variety of entities including major oil companies, independent refiners, and alternative energy providers. Key competitive elements encompass pricing, customer service, operational efficiency, technological innovation, and market access. Each segment employs different strategies to maintain market presence, emphasizing innovation and adaptability to changing energy landscapes.

Through its comprehensive portfolio and strategic positioning, Phillips 66 aims to meet the growing energy demands while evolving towards sustainable practices. This forward-looking approach underscores the company’s commitment to not only providing traditional energy solutions but also embracing renewable energy advancements.
