A. Company Overview
CVR Energy, Inc. is a diversified holding company established in September 2006. The company primarily engages in two industries: petroleum refining and marketing, and nitrogen fertilizer manufacturing, making it a prominent player in these sectors. It operates through two key segments: the Petroleum Segment and the Nitrogen Fertilizer Segment, which is represented by its investment in CVR Partners, LP, a publicly traded limited partnership.
In the Petroleum Segment, CVR Energy refines and markets high-value transportation fuels, particularly gasoline and diesel. As of December 31, 2023, a significant portion of CVR Energy is owned by Icahn Enterprises L.P. and its affiliates, which hold approximately 66% of its outstanding common stock. Additionally, CVR Energy holds the general partner interest in CVR Partners and approximately 37% of the outstanding common units.
B. Company History
Since its inception, CVR Energy has undergone significant transformations, particularly in its approach towards renewable energy solutions. In April 2022, the company completed a project at its Wynnewood Refinery, successfully converting a hydrocracker to a renewable diesel unit (RDU), enabling the production of approximately 100 million gallons of renewable diesel annually. The total cost for this conversion was approximately $179 million. The project included a renewable feedstock pre-treater, which was mechanically completed by the end of 2023 at a cost of $94 million.
The company's efforts to focus on renewable energy have intensified since 2022, culminating in the segregation of its renewable business operations in February 2023, through the formation of new subsidiaries, asset transfers, and new intercompany agreements.
C. Petroleum Segment
Facilities
The Petroleum Segment encompasses operations from two refineries located in Coffeyville, Kansas, and Wynnewood, Oklahoma:
Coffeyville Refinery
- This facility is a complex, full-coking refinery with a capacity of 132,000 barrels per day (bpd).
- Major operations include fractionation, catalytic cracking, hydrotreating, reforming, coking, isomerization, alkylation, sulfur recovery, and the recovery of propane and butane.
- An important feature of the Coffeyville Refinery is its operational redundancies, ensuring continued processing even during maintenance periods.
Wynnewood Refinery
- The Wynnewood facility operates at a capacity of 74,500 bpd and is capable of processing various grades of crude oil.
