A. Company Overview

Par Pacific Holdings, Inc., based in Houston, Texas, is a growth-oriented energy company that specializes in the provision of both renewable and conventional fuels across the western United States. The company operates through three principal segments: Refining, Retail, and Logistics, catering primarily to the energy needs of its target markets while emphasizing operational efficiency and adaptability to shifting economic landscapes.

B. Business Segments

Refining

Par Pacific operates four refineries with a combined crude oil throughput capacity of 219 thousand barrels per day (Mbpd). These facilities are strategically located in Kapolei, Hawaii; Newcastle, Wyoming; Tacoma, Washington; and Billings, Montana.

  1. Hawaii Refinery: Situated in Kapolei on Oahu, the refinery has a throughput capacity of 94 Mbpd. It features processing units that produce liquefied petroleum gas (LPG), naphtha, gasoline, jet fuel, ultra-low sulfur diesel (ULSD), marine fuel, low sulfur fuel oil (LSFO), high sulfur fuel oil (HSFO), asphalt, and other products tailored to meet the specific demands of the Hawaiian market. The refinery’s performance is assessed using the 3-1-2 Singapore Crack Spread, which serves as a key market indicator.
  2. Montana Refinery: Located near Billings, this facility has a capacity of 63 Mbpd, processing primarily low-cost Western Canadian and Rocky Mountain crude oil. Similar to its Hawaiian counterpart, it produces gasoline, distillate fuels, asphalt, and other refined products while being integrated with a co-generation facility in which Par holds a 65% interest.
  3. Washington Refinery: This site in Tacoma has a throughput of 42 Mbpd, focusing on ULSD, jet fuel, and gasoline for the Pacific Northwest market. It is recognized for energy efficiency, having received the U.S. Environmental Protection Agency’s ENERGY STAR certification in early 2024.
  4. Wyoming Refinery: With a throughput capacity of 20 Mbpd, this facility processes gasoline, ULSD, and jet fuel, utilizing the RVO Adjusted USGC 3-2-1 as an operational benchmark similar to the Washington refinery.

The refining operations depend on crude oil sourced from a variety of regions including North America, Asia, Latin America, Africa, and the Middle East. The company has ceased purchasing Russian crude oil due to geopolitical tensions stemming from the Russia-Ukraine conflict.

Retail

Par Pacific’s retail segment operates under various brands, primarily “Hele,” in Hawaii, with additional operations in Washington and Idaho. The retail footprint includes both company-operated convenience stores and third-party-operated sites, where Par sets the fuel pricing.

  1. Branding: The Hele brand has become the prominent retail fuel brand in Hawaii, with various competitive advantages supporting its market presence, such as exclusive licensing for the "76" brand.
  2. Store Types: The retail operations encompass a mix of fuel outlets, convenience stores, and unattended cardlock stations, providing a range of products from gasoline to food items.

Competitors in the retail space include national brands like Shell and Texaco, as well as local retailers. Competitive factors include pricing, service quality, station appearance, and location.

Logistics

The logistics segment is essential in supporting both the refining and retail operations of Par Pacific. This segment generates revenue primarily through transportation and storage services for crude oil and refined products.

  1. Hawaii Logistics: The logistics network in Hawaii includes a Single Point Mooring (SPM) offshore the Kapolei refinery and involves an intricate system of pipelines and transportation facilities ensuring seamless product distribution to various islands and for export.
  2. Montana and Washington Logistics: The company has expanded its logistics capabilities in the Rocky Mountain region with the acquisition of distribution assets, including the Silvertip Pipeline. It operates a network of refined product terminals, pipelines, and rail services to facilitate effective distribution of petroleum products.
  3. Wyoming Logistics: Similar to Washington, the Wyoming operations leverage a robust pipeline network and various storage capacities to ensure efficient movement and supply of crude and refined products.

C. Macroeconomic Influences

Par Pacific’s operations are influenced by broader economic trends, including fluctuations in energy prices, changes in regulatory landscapes, and geopolitical developments. Economic factors, such as global and domestic inflationary pressures, have led to significant changes in fuel pricing and market demand.

The resurgence of refined product demand post-COVID-19, coupled with geopolitical tensions affecting supply chains, suggests that Par Pacific must remain adaptable in its procurement and operational strategies. Additionally, the evolving regulatory environment surrounding emissions and renewables influences operational costs and product strategies.

D. Other Operations and Investments

Beyond its core business segments, Par Pacific holds minority equity investments in entities such as Laramie Energy, which focuses on natural gas development in Colorado. It also maintains interests in other companies, including those related to refining and logistics partnerships, enhancing its operational breadth and market presence.

E. Environmental Regulations

Par Pacific is committed to compliance with a wide range of environmental regulations that govern air emissions, water quality, and hazardous waste management. The company actively engages in environmental stewardship initiatives and adheres to regulatory frameworks established by federal, state, and local authorities.

Striving for compliance with stricter emission standards and engaging in sustainable practices are increasingly essential to the company’s operational integrity and market positioning. As regulations evolve, particularly regarding greenhouse gas emissions and renewable fuel standards, Par Pacific must navigate these complexities to sustain its competitive edge.
