A. Company Overview
CenterPoint Energy Inc. is a publicly traded utility holding company based in Houston, Texas. It operates primarily in the fields of electric and natural gas transmission and distribution, with its services extending across several states in the southern and midwestern United States. The company's operations are primarily categorized into three main segments: Electric, Natural Gas, and Corporate and Other.
As of December 31, 2023, CenterPoint Energy’s subsidiaries include Houston Electric, which focuses on electric transmission and distribution within the ERCOT region in Texas, and CERC Corp., which oversees natural gas distribution systems across Louisiana, Minnesota, Mississippi, Texas, Indiana, and Ohio. The company also owns SIGECO, which provides energy delivery services to customers in southwestern Indiana.

Electric
The Electric segment of CenterPoint Energy is primarily composed of two operating entities: Houston Electric and Indiana Electric, which collectively manage the generation, transmission, and distribution of electricity.
Houston Electric
Houston Electric operates within Texas, providing transmission and distribution services. It connects various power plants to substations and ensures electricity delivery to Retail Electric Providers (REPs) serving customers in the Houston metropolitan area. Houston Electric does not engage in retail or wholesale direct sales of energy nor does it own generation facilities beyond those required for its operational support.
- Electric Transmission: Houston Electric constructs and maintains transmission lines under tariffs approved by the Public Utility Commission of Texas (PUCT). Its infrastructure allows for the transfer of electricity from sources to substations and finally to retail customers.
- Electric Distribution: This component encompasses the management of the distribution network, which includes substations that distribute electricity to lower-voltage feeders, providing necessary metering and customer service operations.
Houston Electric also utilizes bankruptcy-remote Bond Companies that issue Securitization Bonds for purchasing transition properties, which are repaid through customer charges in its service territory.
Indiana Electric
Jackson Electric operates through SIGECO and handles energy generation and distribution in Indiana. It produces electricity and engages in wholesale power markets, pioneering solar power initiatives to fulfill future energy needs.
- Operational Roles: This segment is responsible for managing electric transmission, distribution, and generating assets, contributing to both retail and wholesale electricity markets mainly through the Midcontinent Independent System Operator (MISO).
Natural Gas
CenterPoint Energy's Natural Gas segment is operational in several states, providing regulated intrastate natural gas sales and services to a range of customers, including residential, commercial, industrial, and transportation sectors.
Distribution and Services
CERC Corp. directly manages the natural gas distribution in Louisiana, Minnesota, Mississippi, and Texas, and indirectly operates in Indiana and Ohio. The segment is characterized by:
- Infrastructure and Supply: It manages pipeline connections with both interstate and intrastate systems, creating a robust delivery framework.
- Rates and Seasonality: Revenue from natural gas services is largely influenced by fluctuating demand during seasonal changes, particularly in colder months when heating needs rise.

Corporate and Other
This segment consists of various corporate support operations that bolster the overall function of CenterPoint Energy's business. It manages the company’s real estate assets and, until mid-2023, included operations related to energy performance contracting through Energy Systems Group.
C. Customers
CenterPoint Energy’s customers are predominantly REPs that resell electricity in the Houston area, thereby impacting the overall customer dynamics. The company does not maintain long-term contracts with customers but operates on a continuous billing cycle.
The Natural Gas segment also serves a variety of residential and commercial customers, with significant markets located in major urban areas such as Houston, Minneapolis, Shreveport, and Evansville.
D. Competition
In both the Electric and Natural Gas segments, CenterPoint Energy faces limited competition due to the regulated nature of the industries in which it operates. In Texas, for instance, there are no other electric transmission and distribution utilities competing within Houston Electric's service area. In Indiana, Indiana Electric functions as a vertically integrated utility, controlling generation, transmission, and distribution processes, insulating it further from competition.
E. Regulation
CenterPoint Energy’s operations are heavily regulated on multiple levels, including federal, state, and local oversight. Compliance with regulations set forth by entities such as the Federal Energy Regulatory Commission (FERC) and the PUCT is essential for operational viability. These regulations govern everything from pricing, service area designation, and overall compliance with safety and environmental regulations.
Electric Regulation
For Houston Electric, the PUCT oversees the tariff structures and service delivery, ensuring fair and just rates for consumers while maintaining operational reliability across the ERCOT region. Indiana Electric is regulated by the Indiana Utility Regulatory Commission (IURC) and actively participates in MISO's energy market.
Natural Gas Regulation
