A. Company Overview

Founded in 2006 and headquartered in Cupertino, California, Aemetis, Inc. (collectively with its subsidiaries) is an international renewable natural gas and renewable fuels company. The primary focus of Aemetis is on the operation, acquisition, development, and commercialization of innovative technologies geared towards producing low and negative carbon intensity renewable fuels that serve as replacements for fossil-based products. The company is actively engaged in creating a local circular bioeconomy, leveraging agricultural products and waste to produce low carbon, advanced renewable fuels aimed at reducing greenhouse gas (GHG) emissions and enhancing air quality.

B. Business Operations

Aemetis operates various facilities and projects in different locations, focusing on the production of renewable fuels and related products.

California Ethanol

Aemetis owns and operates a significant ethanol production facility in Keyes, California, with an annual capacity of 65 million gallons. The Keyes Plant not only generates low carbon renewable fuel ethanol but also produces Wet Distillers Grains (WDG), Distillers Corn Oil (DCO), and Condensed Distillers Solubles (CDS) as byproducts. These byproducts are marketed as animal feed to local dairies and feedlots. Additionally, the plant sells carbon dioxide (CO₂), which is captured during the fermentation process and converted into liquid form for distribution to food, beverage, and industrial customers. The implementation of energy efficiency initiatives at the Keyes Plant has been a priority to lower operating costs and reduce carbon intensity.

California Dairy Renewable Natural Gas

In central California, Aemetis produces Renewable Natural Gas (RNG) through a network of eight anaerobic digesters that convert dairy waste into biogas. This system is connected via a 26-mile biogas collection pipeline that leads to a central upgrading hub, allowing for the injection of RNG into the utility natural gas pipeline for customer use as transportation fuel. Expansion plans for RNG production include the construction of additional digesters and pipeline infrastructure.

India Biodiesel

Aemetis operates a biodiesel production facility in Kakinada, India, capable of producing approximately 60 million gallons of high-quality distilled biodiesel annually from various vegetable oils and animal waste feedstocks. This facility is one of the largest biodiesel production plants in India. Besides biodiesel, the Kakinada Plant can distill crude glycerin, a byproduct of the biodiesel refining process, into refined glycerin for sale to industries including pharmaceuticals, personal care, paints, and adhesives.

Future Developments

Aemetis is actively developing new renewable fuel technologies, including a Sustainable Aviation Fuel and Renewable Diesel (SAF/RD) production plant at the Riverbank Industrial Complex in California, targeting an annual production of 90 million gallons. This facility will operate on low-carbon hydroelectric electricity and renewable hydrogen generated internally. Additionally, plans are in place for Carbon Capture and Underground Sequestration (CCUS) facilities, aimed at injecting carbon dioxide captured from emissions into geological formations to mitigate greenhouse gas emissions.

C. Strategic Objectives

Aemetis has outlined clear strategic objectives to enhance operational efficiency and growth:

  • California Ethanol: The strategy focuses on improving operating margins by enhancing energy efficiency and exploring alternative feedstocks that minimize costs and carbon emissions. Investment in technologies such as a mechanical vapor recompression (MVR) system aims to significantly reduce natural gas consumption and integrate solar energy into operations.
  • California Dairy Renewable Natural Gas: The expansion of dairy digesters and pipeline systems to boost RNG production is a key focus. By leveraging established relationships with local dairies, Aemetis aims to cement its market position in this renewable sector.
  • India Biodiesel: The company plans to capitalize on government policy changes in India to enhance biodiesel sales, diversify feedstock sourcing, and develop proprietary technology to optimize production costs.

D. Competitive Landscape

Aemetis operates in a competitive environment that includes various renewable and fossil fuel producers. In the realm of California Ethanol, competition exists with approximately 187 commercial ethanol facilities across the U.S., primarily involving price competition. For California Dairy Renewable Natural Gas, Aemetis faces competition from other renewable and fossil natural gas producers, while the India Biodiesel sector includes significant rivalry from oil marketing companies and private oil enterprises with established distribution networks.

E. Customer Base

The customer base for Aemetis is diverse, spanning various sectors and geographical markets. In California Ethanol, all ethanol and co-products are sold under contracts with J.D. Heiskell, while Renewable Natural Gas is primarily delivered via partnerships with regional utilities and fuel dispensing companies. In India, the company's biodiesel is predominantly sold to government-owned Oil Marketing Companies, which accounted for 95% of biodiesel sales in 2023.

F. Pricing and Raw Materials

Pricing in the ethanol and biodiesel segments is influenced by commodity market fluctuations and government regulations. Aemetis monitors agricultural commodity markets closely and engages in strategic purchasing and pricing agreements that help mitigate commodity price risks. The procurement of raw materials includes corn for the ethanol production and various feedstocks for biodiesel, all sourced through established relationships with local suppliers and variable based on market conditions.

G. Research and Development Initiatives

Aemetis continuously invests in research and development, focusing on technologies for producing sustainable aviation fuels, renewable diesel, cellulosic ethanol, and other low carbon intensity biofuels. The company is committed to innovating processes that utilize waste feedstocks for large-scale biofuel production while protecting and expanding its intellectual property through patents related to renewable fuel technologies.

H. Environmental and Regulatory Compliance

Compliance with environmental regulations is a significant component of Aemetis' operations. The company navigates a complex landscape of federal, state, and local laws governing emissions, waste management, and overall environmental sustainability. The potential for regulatory changes remains a critical consideration for future operational planning, especially as new laws regarding carbon emissions and renewable energy production evolve.

I. Workforce

As of the end of 2023, Aemetis employs approximately 205 full-time equivalent personnel across its various facilities, including corporate and operational staff. The company focuses on maintaining a skilled workforce capable of advancing its renewable energy goals and ensuring that operational capabilities align with the overall strategic vision of the firm.
