A. Company Overview

Wendy’s Company is a prominent player in the quick-service restaurant industry, primarily focused on operating, developing, and franchising quick-service restaurants known for their high-quality food. Of the U.S. establishments, Wendy's operates 403 restaurants directly while 5,627 are operated by 212 franchisees. Globally, the majority of its international restaurants, 1,198, are also run by franchisees. Only 12 international locations are operated by the company itself, specifically within the United Kingdom.

B. Corporate History

The corporate lineage of Wendy’s traces back to its incorporation in Ohio in 1929. The company underwent various changes, including a reincorporation in Delaware in 1994. A significant milestone occurred in 2008, when Wendy's International merged with Triarc Companies, which resulted in the company's name change to Wendy’s/Arby’s Group, Inc. However, following the divestiture of Arby’s Restaurant Group in 2011, the corporate name was again changed to The Wendy's Company.

Wendy's fiscal reporting aligns with periods consisting of 52 or 53 weeks, concluding on the Sunday closest to December 31. For clarity, the years translated into financial terminology are: the year ended December 31, 2023 is referred to as 2023; the year ended January 1, 2023 is identified as 2022; and the year ended January 2, 2022 is recognized as 2021.

Wendy's aims to deliver accelerated global growth through several strategies: enhancing same-restaurant sales across all dayparts, boosting consumer-facing digital platforms and technologies, and expanding its geographic footprint. Wendy's is structured into three primary segments:

As of the end of 2023, Company-operated locations accounted for approximately 5% of the overall system.

G. Restaurant Openings and Closings

In 2023, Wendy's opened four new company-operated restaurants while closing four underperforming ones. Franchisees, on the other hand, contributed to 244 new openings, coupled with 99 closures of their underperforming outlets.

H. Restaurant Operations

Wendy’s menu is diverse, spotlighting hamburger sandwiches, freshly prepared chicken sandwiches, chicken nuggets, and other items, including salads, fries, and the signature Frosty® dessert. By the end of 2023, all fresh beef for Wendy’s U.S. restaurants is sourced through three independent processors operating a total of five facilities, while chicken products come from seven independent processors across 17 facilities. The logistics of product distribution are managed by a primary distributor for approximately 67% of U.S. restaurants, with other distributors servicing the remainder.

The presence of a Quality Supply Chain Co-op (QSCC) ensures efficient management of purchasing for food and supplies, which ultimately streamlines costs and reduces risks associated with stock shortages.

J. Quality Assurance

The quality assurance initiatives established by Wendy's focus on verifying that food products meet safety and quality standards during processing and distribution. This includes comprehensive audits on sanitation and product handling across all production facilities, along with regular assessments of restaurant compliance with operational standards.
