2. Share Distribution Details

The separation was executed through a pro-rata distribution of 100% of Mobility Global's shares to S&P Global stockholders. Effective at 12:01 a.m. New York City time on July 1, stockholders received one share of Mobility Global common stock for each share of S&P Global held as of the record date, June 15, 2026. Stockholders can expect to see a book-entry account statement or a credit to their brokerage accounts reflecting their new ownership in Mobility Global.

It is important to note that fractional shares of Mobility Global were not distributed directly to stockholders. Instead, any fractional shares were sold in the open market on behalf of the stockholders, with proceeds distributed as cash payments based on their proportional ownership.

3. Upcoming Financial Insights

S&P Global has indicated that it will release recast financial information reflecting the impact of the spin-off on July 6, 2026. This will include financial data for the full year of 2025, the four quarters of 2025, and the first quarter of 2026, providing stakeholders with a clearer picture of the financial landscape post-separation.
