A. Company Overview
IT Tech Packaging Inc. (hereafter referred to as "the Company" or "IT Tech Packaging") operates as a Nevada holding company with its primary business activities conducted through subsidiaries and contractual agreements with its Variable Interest Entity (VIE), Hebei Baoding Dongfang Paper Milling Company Limited (referred to as "Dongfang Paper"), based in the People’s Republic of China (PRC). The Company does not directly engage in operations but relies on its PRC subsidiaries, namely Baoding Shengde Paper Co., Ltd. and QianrongQianhui Hebei Technology Co., Ltd., alongside Dongfang Paper.
IT Tech Packaging's structure is designed to navigate PRC regulations that prohibit direct foreign investment in its operational sectors, particularly the paper-making industry. Despite being a holding company without direct ownership over its business in China, the Company controls and benefits economically from the operations of its VIE through an array of VIE Agreements. As a result, investors purchase equity in IT Tech Packaging, recognizing that they may never hold direct equity interests in the underlying Chinese operational entities.
B. Corporate Structure
The Company was established in the State of Nevada on December 9, 2005, under the name "Carlateral, Inc." and rebranded to IT Tech Packaging, Inc. on August 1, 2018. Its corporate structure constitutes a complex web of ownership and control due to PRC legal stipulations that prevent foreign entities from holding equity in certain sectors.
IT Tech Packaging acts as the parent company, holding 100% equity interest in Baoding Shengde, which in turn has operational control of Dongfang Paper through various contractual arrangements. These agreements allow Baoding Shengde to oversee Dongfang Paper's operations while securing the financial returns generated from Dongfang Paper’s activities for IT Tech Packaging.
C. Business Operations
Paper Production
IT Tech Packaging, via its subsidiaries and Dongfang Paper, partakes in the production and distribution of three main categories of paper products:
- Corrugating Medium Paper: This constitutes the majority of production and revenue, accounting for about 97.06% of total paper output and roughly 94.47% of total revenue as of the end of 2023. It is primarily produced using recycled paperboard.
- Offset Printing Paper: A smaller component of the business that serves the publishing industry, accounting for $3,215,190 in revenue from approximately 5,573 tonnes sold in the year ended December 31, 2023.
- Tissue Paper Products: The Company began commercial production of tissue paper in 2015, processing base tissue paper sourced from third-party suppliers.
- Medical Face Masks: Adapted production capabilities during the COVID-19 pandemic to manufacture non-medical and surgical masks, launching in 2020 and receiving licenses to produce single-use surgical masks in 2021.
Manufacturing Process
The Company's manufacturing involves a two-stage process primarily focused on recycling waste paper for producing corrugating medium and offset printing papers:
- Pulping: The process begins with sorting and breaking down recycled waste paper, filtering to separate pulp grades.
- Paper Making: The clean pulp undergoes a drying process, treating it for quality assurance before being rolled, cut, and packaged.
The tissue paper production utilizes purchased paper pulp, indicating reliance on external suppliers for that product line.
D. Regulatory Environment
The regulatory landscape in China poses both challenges and opportunities for IT Tech Packaging. The PRC government maintains significant oversight over the paper-making industry and foreign investment. As stipulated by PRC laws, IT Tech Packaging is precluded from owning equity in its consolidated VIE, necessitating a VIE structure to facilitate foreign investment while navigating legal hurdles that govern such arrangements.
Recent regulatory developments have increased scrutiny on overseas-listed Chinese companies using VIE structures, emphasizing the potential for regulatory changes that could impact operational continuity and market access.
E. Financial Overview
Due to its structure as a holding company, IT Tech Packaging generates revenues primarily through service agreements that dictate financial flows from its VIE to the subsidiaries. For the fiscal year ended December 31, 2023, substantial revenues stemmed from the production and sale of corrugating medium paper and offset printing paper. The financial results from Dongfang Paper's operations are consolidated into the Company’s financial statements as required under U.S. Generally Accepted Accounting Principles.
F. Market Context
The PRC paper-making industry demonstrated notable growth, producing approximately 2,500 paper and paperboard manufacturers with a total output of 124.25 million tonnes in 2022. IT Tech Packaging competes primarily in the corrugating medium paper segment within a competitive landscape marked by larger public entities with greater resources.
The Company targets corporate customers within Northern China, aiming to penetrate the middle-range marketplace by providing high-quality products at competitive prices. Its strategic advantage lies in geographic proximity to significant markets, notably Beijing and Tianjin, alongside lower transportation costs due to localized operations.
