B. Acquisitions, Closures, and Dispositions
Over the past few years, Graphic Packaging has actively pursued strategic acquisitions to bolster its market position and capabilities. Notably, in January 2023, GPHC completed the acquisition of Tama Paperboard, a facility specializing in recycled paperboard manufacturing located in Tama, Iowa, for approximately $100 million. This acquisition is included within the Paperboard Manufacturing reportable segment. In the second quarter of 2023, this facility was closed as part of an operational consolidation effort.
Subsequently, the Company announced plans in 2023 to close several packaging facilities by the end of the year and early 2024, consolidating production into existing facilities to optimize operational efficiency. On September 8, 2023, GPHC acquired Bell Incorporated for $264 million, enhancing its Americas Paperboard Packaging segment with three additional facilities in South Dakota and Ohio.
The Company has also made decisions to discontinue certain projects and decommission specific machinery as part of broader strategic initiatives aimed at optimizing production capacities and focusing growth on areas that align with market demands and sustainability goals.
C. Products
Graphic Packaging operates primarily through three reportable segments:
Paperboard Manufacturing
The Paperboard Manufacturing segment encompasses seven state-of-the-art manufacturing facilities in North America dedicated to producing various grades of paperboard: unbleached, bleached, and recycled. This segment serves both internal manufacturing needs for packaging and external customers.
Americas Paperboard Packaging
This segment focuses on producing paperboard packaging tailored for consumer packaged goods (CPG) companies, including items such as cups, lids, and food containers aimed at the foodservice industry. Europe Paperboard Packaging

Graphic Packaging holds a 50% stake in a joint venture named Rengo Riverwood Packaging, Ltd., based in Japan. This collaborative initiative focuses on unbleached paperboard supply, proprietary carton designs, and a comprehensive marketing strategy for the distribution of packaging systems.
