The initial deployment will leverage a custom AMD Instinct GPU based on the MI450 architecture to optimize AI capabilities at a gigawatt scale.

2. Deployment Timeline and Technology

Shipments for the first gigawatt deployment are anticipated to begin in the latter half of 2026, with the deployment powered by the custom MI450-based GPUs and the 6th Generation AMD EPYC™ CPUs, codenamed "Venice." These components will run on the ROCm™ software and be built within the AMD Helios rack-scale architecture, which has been jointly developed by AMD and Meta through the Open Compute Project.

In addition to the GPU collaboration, AMD and Meta are enhancing their partnership concerning AMD EPYC processors. Meta has previously deployed millions of AMD EPYC CPUs and significant quantities of AMD Instinct MI300 and MI350 GPUs, establishing a robust infrastructure. As AI needs continue to grow, CPUs are increasingly viewed as a strategic component within the AI compute stack, providing efficiency and scalability alongside GPUs.

Meta is set to become a lead customer for the 6th Generation AMD EPYC CPUs, "Venice," as well as "Verano," a next-generation EPYC processor designed for workload-specific performance optimizations.

4. Performance-Based Stock Agreement

In a notable development, AMD has issued Meta a performance-based warrant for up to 160 million shares of AMD common stock. This warrant is structured to vest as specific milestones related to Instinct GPU shipments are met. Jean Hu, AMD's EVP, CFO, and treasurer, emphasized the anticipated benefits of this partnership, stating, "We expect this partnership to drive substantial multi-year revenue growth and be accretive to our non-GAAP earnings per share."
