A. Company Overview

Sunoco LP, a Delaware master limited partnership (MLP), plays a pivotal role in the energy infrastructure and distribution sector, particularly in the transportation and marketing of motor fuels. Managed by a General Partner that is fully owned by Energy Transfer, Sunoco LP is intricately linked to the larger Energy Transfer ecosystem, enhancing its operational scope and strategic positioning in the market. As of early 2026, Energy Transfer has full ownership of Sunoco's General Partner, as well as a significant number of Sunoco's common units, thereby influencing key decision-making processes within the partnership.

The company operates primarily in the United States and extends its reach into territories across North America, the Greater Caribbean, and Europe. With a well-established midstream operation encompassing over 14,000 miles of pipeline and more than 160 terminals, Sunoco is recognized as one of the leading independent fuel distributors in the Americas. Annually, it distributes over 15 billion gallons of various motor fuels through approximately 11,000 branded and partner locations, catering not only to retail outlets but also to independent dealers and commercial customers.

B. Organizational Structure

Sunoco’s relationship with Energy Transfer is crucial for its operational strategy, as Energy Transfer has the power to appoint the board of directors of Sunoco’s General Partner and plays an instrumental role in guiding the partnership's trajectory. The structure also includes operational subsidiaries such as Sunoco Retail LLC, which engages in retail fuel sales and further drives the company's market presence.

C. Business Segments

Sunoco's operations are organized into four key reportable segments:

Fuel Distribution Segment

This segment stands as Sunoco's core foundation, wherein it functions as a major distributor of motor fuels and petroleum products. The company distributes fuels under well-known brands like Sunoco, Aloha, and Valero. Moreover, it holds significant distribution agreements that provide exclusive rights to distribute branded fuels to a wide array of independent dealers, commission agents, and commercial businesses.

With an extensive network, the Fuel Distribution segment serves approximately 9,200 retail locations, operates around 330 company-owned convenience stores, and supplies fuels to over 13,000 commercial customers including governmental and industrial entities. The fuel distribution activities include selling propane, lubricating oils, and marketing race fuels produced at its manufacturing facility in Pennsylvania.

The segment further generates revenue from credit card operations, franchise royalties, and rental income from properties leased to independent operators. The operation's efficacy is bolstered by strategic acquisition activities aimed at enhancing its distribution network.

Pipeline Systems Segment

Sunoco owns an integrated pipeline and terminal network that spans roughly 6,000 miles of refined product pipelines, 6,000 miles of crude oil pipelines, and 2,000 miles of ammonia pipelines. The pipeline systems are critical for the effective transportation of energy products across vast geographic regions. The segment remains competitive by emphasizing service reliability, optimized logistics, and effective transportation costs.

Terminals Segment

The Terminals segment consists of four transmix processing facilities and 83 terminals in various locations, including the continental United States, Canada, Hawaii, and the Greater Caribbean. These terminals serve both internal and third-party customers by providing essential storage and logistical support to streamline the fuel distribution process.

The transmix processing facilities are unique as they convert off-specification refined products into marketable fuels, thus optimizing the supply chain.

Refinery Segment

The Burnaby Refinery, acquired through the Parkland Acquisition, adds a critical dimension to Sunoco's operational capabilities. With a refining capacity of approximately 55,000 barrels per day, the facility primarily processes sweet crude oil into gasoline, diesel, and jet fuel, complying with rigorous environmental standards for lower carbon intensity fuels. The refinery also contributes to Sunoco's retail operations in British Columbia and to other commercial customers.

D. Recent Developments and Acquisitions

Sunoco's recent strategic moves have fortified its market position, most notably through the acquisition of Parkland on October 31, 2025. This acquisition expanded its operational footprint considerably, adding Parkland's presence across 26 countries in the Americas and diversifying its product offerings. Sunoco Retail LLC's payment to Parkland's shareholders constituted both cash and equity—underscoring its method of leveraging public market instruments alongside traditional cash transactions for acquisitions.

Further, in January 2026, Sunoco acquired TanQuid, a significant player in Germany with fuel terminals within both Germany and Poland. These acquisitions exemplify Sunoco's growth strategy through consolidation, aimed at enhancing its breadth and operational efficiencies.

E. Competitive Landscape

The energy distribution and fuel marketing sectors exhibit intensive competition, with various players ranging from independent fuel distributors to established integrated oil companies. Sunoco contends with large well-funded competitors equipped with substantial brand recognition. Key competitive factors include fuel pricing, brand loyalty, quality of service, and the breadth of product offerings.

The company's strategic emphasis lies on maintaining competitive pricing while augmenting service quality through its extensive network of distribution channels and convenience retail points.
