A. Company Overview
Park Ohio Holdings Corp. (ParkOhio) is a diversified international corporation incorporated in Ohio in 1998. The company specializes in providing world-class supply chain management outsourcing services, capital equipment designed for production lines, and manufactured components that are essential in the assembly of various products. ParkOhio operates through three primary segments: Supply Technologies, Assembly Components, and Engineered Products. As of December 31, 2023, the company boasted a workforce of approximately 6,300 employees.
In a strategic move to streamline operations, ParkOhio sold its Aluminum Products business to Angstrom Automotive Group on December 29, 2023, for a total consideration of up to $50.5 million, including cash and promissory notes. This transaction reflects ParkOhio's ongoing commitment to optimizing its business portfolio and focusing on its core competencies.
B. Business Segments
Supply Technologies
The Supply Technologies division is dedicated to optimizing the efficiency of supplying production parts and materials to manufacturing operations. This is achieved through a proprietary approach termed Total Supply Managementâ„¢, which encompasses a comprehensive suite of services. These services include engineering and design support, part usage and cost analysis, supplier selection, quality assurance, product packaging and tracking, as well as just-in-time and point-of-use delivery. Additionally, it provides electronic billing services and ongoing technical assistance.
Supply Technologies operates around 80 logistics service centers across North America and various countries in Europe and Asia, ensuring a vast network for production sourcing and support. With a portfolio that exceeds 280,000 globally-sourced production components, many of which are tailored to individual customer requirements, the segment supplies an array of products, including valves, fuel hose assemblies, electro-mechanical hardware, and various automotive components.
This segment distinguishes itself from traditional distributors by offering sole-source arrangements, thereby simplifying the supply chain for customers by managing multiple suppliers under one comprehensive contract. The average client relationship for its top 50 customers spans over a decade, indicating strong customer loyalty and long-term commitment.
Assembly Components
The Assembly Components segment focuses on producing products that promote fuel efficiency, reduced emissions, and vehicle electrification. It specializes in designing and manufacturing high-pressure direct fuel injection systems, fuel filler pipes, and multi-layer assemblies that transport fuel within vehicles. As the automotive industry evolves toward Turbo Enabled engines, this segment is positioned at the forefront, developing components that accommodate downsized engines that optimize efficiency while reducing environmental impact.
With operations across 12 manufacturing facilities and three technical offices worldwide, the group not only focuses on manufacturing but also offers design engineering, machining, and assembly services. Approximately 70% of the segment's sales are directed towards domestic markets, with top customers accounting for a significant portion of total revenue.
Engineered Products
This segment encompasses a diverse range of niche manufacturing operations involved in designing and producing highly engineered products. These include induction heating and melting systems, pipe threading systems, and forged and machined products. The Engineered Products segment boasts 14 domestic facilities and 19 international sites, highlighting its robust operational scale.
The induction heating and melting business utilizes proprietary technologies to serve industries such as automotive and construction equipment. It specializes in the engineering, construction, service, and repair of systems used primarily for melting, heating, and surface hardening of metals. Furthermore, the segment sells replacement parts and field services which generate a significant portion of its revenue.
With approximately 57% of sales directed towards domestic clients, Engineered Products maintains a competitive edge by meeting rigorous customer specifications and ensuring precision across its manufacturing processes.
C. Sales and Marketing
Park Ohio's marketing strategies are tailored to each segment, employing both direct sales forces and independent sales representatives. The Supply Technologies segment supports its marketing with applications engineers who assist in technical aspects of product development. The Assembly Components and Engineered Products segments rely on their sales personnel to maintain relationships and ensure continuous service and supply.
D. Raw Materials and Suppliers
Park Ohio's various segments typically source raw materials and components from third-party suppliers, with a focus on ensuring quality and timely delivery. A notable proportion of these materials is sourced internationally, especially from suppliers in countries like Canada, China, and Europe. The company remains vigilant regarding the fluctuations in raw material pricing, particularly in commodities such as steel which can impact production costs.
E. Compliance with Government Regulations
Operations at Park Ohio must adhere to a comprehensive set of federal, state, and local regulations aimed at protecting public health and the environment. These regulations cover a wide spectrum, including emissions and waste management practices. The company has generally maintained compliance with these regulations, which has not significantly affected its financial standing.
