(NASDAQ:CIFR) has announced a significant 10-year colocation agreement with Fluidstack, a leading AI cloud platform. Cipher Mining will provide an impressive 168 megawatts (MW) of critical IT load, backed by a gross capacity of up to 244 MW, at its Barber Lake facility located in Colorado City, Texas. This site is strategically advantageous, with energized capacity already in place and room for expansion up to 500 MW, making it an ideal hub for next-generation compute requirements.

The financial implications of this agreement are noteworthy: Cipher anticipates approximately $3 billion in contracted revenue over the initial ten-year term. Importantly, the deal includes two five-year extension options, which could potentially elevate the total contract revenue to an astonishing $7 billion.

2. Strategic Backing by Google

Adding to the excitement of this partnership, tech giant Google has agreed to backstop $1.4 billion of Fluidstack’s lease obligations. This financial support is aimed at bolstering project-related debt financing, highlighting the confidence that major industry players have in the potential of this collaboration. As part of this arrangement, Google will also receive warrants, allowing it to acquire around 24 million shares of Cipher common stock, which translates to an approximate 5.4% pro forma equity ownership stake, subject to adjustments.

Cipher's CEO, Tyler Page, expressed enthusiasm about the collaboration, stating, "We are thrilled to be working with Fluidstack to develop HPC data centers, and we look forward to welcoming Google as an investor in Cipher. This transformative transaction reinforces our HPC momentum as we continue to attract attention for our large and growing pipeline of sites."

3. Financial Overview and Future Prospects

The transaction is structured to ensure a robust financial return, with expected Site Net Operating Income (NOI) margins projected between 80%-85%. Project costs are estimated to range from $9 million to $11 million per MW of critical IT load, indicating a substantial investment in infrastructure that is set to pay dividends.

Beyond this agreement, Cipher maintains a growing pipeline of approximately 2.4 gigawatts (GW) prioritized for HPC, underscoring the company's ambitious expansion plans in this rapidly evolving sector.

César Maklary, Co-Founder and President of Fluidstack, commented on the partnership, stating, "Fluidstack understands what it takes to deliver the compute this moment requires. Together with Cipher Mining, we’re committed to accelerating the development of critical infrastructure on which frontier AI companies depend."
