A. Company Overview

Sierra Bancorp is a California corporation established as a registered bank holding company under federal banking laws, with its headquarters located in Porterville, California. The company primarily serves as the holding company for Bank of the Sierra, which has been its sole subsidiary since its formation in August 2001. Sierra Bancorp focuses on holding the stock of the Bank and any other subsidiaries it may acquire in the future. By the end of 2023, the company's only additional subsidiaries were Sierra Statutory Trust II, Sierra Capital Trust III, and Coast Bancorp Statutory Trust II—entities created exclusively to facilitate the issuance of capital trust pass-through securities known as TRUPS. These trusts are not reflected on a consolidated basis in the financial statements per the Financial Accounting Standards Board's (FASB) regulations concerning variable interest entities.

As of December 31, 2023, Sierra Bancorp's consolidated assets reached approximately $3.7 billion, which included gross loans totaling around $2.1 billion. Its liabilities were approximately $3.4 billion, with deposits amounting to $2.8 billion. The total shareholders' equity stood at $338.1 million, consisting partly of $35.7 million in debt obligations related to its trust subsidiaries for the TRUPS issued by those entities.

B. The Bank

Bank of the Sierra, the main operating subsidiary of Sierra Bancorp, is a California state-chartered bank. Established in September 1977, it opened its first branch in January 1978, starting with a relatively small capital base of $1.5 million. The Bank has undergone significant growth over the years primarily through organic development and also via multiple acquisitions of whole banks, such as Sierra National Bank in 2000, Santa Clara Valley Bank in 2014, Coast National Bank in 2016, and Ojai Community Bank in October 2017. In addition, it opened an agricultural loan production office in 2022.

Currently, the Bank operates a network of 35 full-service branches in various locations across California, including the South San Joaquin Valley, the Central Coast, and Ventura County. The administrative offices and specialized lending units, such as Commercial and Industrial, Mortgage Warehouse, and Real Estate lending divisions, complement these branch locations. The Bank’s commitment to improving customer access is further evidenced by an extensive ATM network, which includes all but one of its branch locations and six non-branch locations, as well as membership in the Allpoint network, offering surcharge-free access to a large number of ATMs nationwide.

C. Services and Products

Sierra Bancorp's primary business revolves around lending and deposit-taking. The Bank's loan offerings encompass various categories, including real estate loans, commercial loans, agricultural loans, and consumer loans. The bulk of real estate loans are secured by commercial properties, including both owner-occupied and non-owner-occupied real estate. At the close of 2023, real estate loans constituted 86.7% of the total loan portfolio. Other types of credit extended include commercial loans (7.5%), mortgage warehouse loans (5.6%), and consumer loans (0.2%). Specifically, the contributions from real estate loans generated substantial interest income—totaling approximately $82.2 million in 2023.

In terms of deposit services, the Bank offers various accounts designed for both individual and commercial clients, including checking accounts, savings accounts, money market demand accounts, time deposits, and retirement accounts. Notably, the Bank’s deposit accounts are insured by the Federal Deposit Insurance Corporation (FDIC) up to maximum applicable limits, thereby providing an added layer of security for customers. As of December 31, 2023, the Bank maintained approximately 120,701 deposit accounts, a slight decrease from the previous year, with total deposits unchanged at $2.8 billion.

D. Competitive Landscape

The California banking sector is characterized by intense competition, with numerous banks vying for market share. Major national banks such as Wells Fargo Bank, Bank of America, and JPMorgan Chase dominate the landscape, with respective market shares that significantly exceed that of Sierra Bancorp. As of June 30, 2023, Bank of the Sierra ranked fifth among banks in its geographic footprint with 5.1% of total deposits. However, the Bank maintains leadership within its home region of Tulare County, where it holds a market share of 21.6%, highlighting its strong local presence.

Sierra Bancorp competes not only against other commercial banks but also with savings institutions, credit unions, and various non-bank financial service providers, including finance companies and emerging fintech alternatives. The competitive nature of the banking industry necessitates a proactive approach, driving Sierra Bancorp to enhance its range of products, personalize customer service, and leverage technology to improve customer access and service quality.

E. Risk Management and Regulations

Sierra Bancorp and the Bank are subject to a comprehensive regulatory environment that oversees their operations and capital structure. As a bank holding company, Sierra Bancorp operates under the Bank Holding Company Act, which subjects it to regulations by the Federal Reserve Board. Concurrently, the Bank, as a state-chartered entity, faces regulation from the FDIC and the California Department of Financial Protection and Innovation.

The capital adequacy regulation is a central concern, guiding the capital structure to ensure a buffer against financial uncertainties. Regulatory requirements dictate minimum capital ratios that the Bank must maintain, reflecting a commitment to robust financial health. Sierra Bancorp has consistently met these capital adequacy requirements as they pertain to the community bank leverage ratio framework, operating with a leverage ratio above the minimums mandated by regulators.

F. Community Engagement

Sierra Bancorp places a significant emphasis on community involvement as part of its operational ethos. The Bank's commitment to the Community Reinvestment Act (CRA) requires it to address the credit needs of local communities, particularly in low and moderate-income areas. The Bank has sought a rating of "satisfactory" for its CRA performance, demonstrating an active engagement with community development initiatives.

Through various outreach programs, including holiday drives and environmental initiatives, Sierra Bancorp integrates its employees into community efforts, reinforcing its dedication to service beyond financial transactions. Such community-driven practices not only enhance the Bank’s reputation but also foster customer loyalty.

As of the end of 2023, Sierra Bancorp employed 491 full-time and 41 part-time individuals. This reflects a stable core workforce necessary to sustain its daily banking operations across different branches and support structures.
