The amortizing notes will provide equal quarterly cash installments, serving as both interest payments and partial repayments of principal, culminating in a final installment payment at the end of the term. Importantly, these notes will be unsecured senior obligations of VSE.

4. Purpose of Proceeds

The net proceeds from the offerings are earmarked primarily to fund a portion of the purchase price for the PAG Acquisition. Should the acquisition not materialize, VSE plans to redirect the proceeds toward general corporate purposes, which may include redeeming and repurchasing components of the Units.

Jefferies and RBC Capital Markets have been appointed as joint lead book-running managers for these offerings, underscoring the confidence in VSE’s strategic direction. VSE’s stock is currently listed on The Nasdaq Global Select Market under the ticker symbol “VSEC,” with plans to list the Units under the symbol “VSECU.”
