1. Overview of the Offering

On November 24, 2025, United Rentals, Inc. (NYSE: URI) announced a significant financial maneuver through its subsidiary, United Rentals (North America), Inc. (URNA). The company has successfully priced a private offering of $1.5 billion principal amount of 5.375% Senior Notes, which are set to mature in 2033. This strategic move is aimed at optimizing the company’s capital structure and enhancing its financial flexibility.

2. Details of the Senior Notes

The newly issued Senior Notes will be secured on a senior unsecured basis by URI and certain domestic subsidiaries of URNA. Investors can expect the net proceeds from this offering to be approximately $1.486 billion, after accounting for initial purchasers’ discounts and commissions, as well as estimated fees and expenses associated with the offering.

Use of Proceeds

URNA intends to utilize the net proceeds from the sale of the Notes for several key purposes:

  1. Redemption of Existing Debt: A portion of the funds, specifically $500 million, will be allocated to redeem URNA’s outstanding 5½% Senior Notes due in 2027. This redemption will help lower the company’s interest expenses and streamline its debt profile.
  1. General Corporate Purposes: The remaining proceeds will be used for general corporate activities, including a reduction of borrowings under URNA’s senior secured asset-based revolving credit facility. This strategic allocation is expected to enhance liquidity and provide more operational flexibility.

3. Regulatory Compliance

The offering of the Notes is being conducted under an exemption provided by the Securities Act of 1933. The initial purchasers will offer the Notes solely to qualified institutional buyers, adhering to Rule 144A. Additionally, offerings outside of the United States will comply with Regulation S. Importantly, the Notes have not been, and will not be, registered under the Securities Act or any state securities laws, limiting their sale within the United States.

4. Market Response and Outlook

While the announcement has generated interest among institutional investors, URI has cautioned that there are no assurances regarding the completion of the offering on the proposed terms. Market participants are advised that the offering of Notes does not constitute a recommendation to buy or sell securities and does not imply any assurance regarding the company’s future performance.
