B. Fleet Composition and Classifications

Tidewater's fleet is classified mainly into three primary categories: Anchor Handling Towing Supply Vessels (AHTS), Platform Supply Vessels (PSVs), and other specialized vessels.

Anchor Handling Towing Supply Vessels (AHTS)

AHTS vessels represent the most versatile segment of Tidewater's fleet. Equipped with advanced technology and experienced crews, these vessels are designed for a range of services, including towing, anchor handling, and complex subsea operations. As of the end of 2023, Tidewater operates a fleet of 54 AHTS vessels, which are crucial for supporting drilling rig positioning and cargo transport in varying sea conditions.

Platform Supply Vessels (PSVs)

PSVs are made for offshore supply roles, typically featuring substantial cargo capacity and dynamic positioning capabilities. Many of the PSVs in the Tidewater fleet also incorporate specialized equipment for firefighting, oil recovery, and standby rescue services. Following the acquisition of Swire Pacific Offshore Holdings Limited, Tidewater expanded its PSV fleet to 141 vessels, enhancing its service capacity in diverse offshore markets.

Other Vessels

The remaining vessels comprise crew boats, utility vessels, and offshore tugs, which are vital for transporting personnel and supplies to offshore installations. Tidewater also contracts the construction of additional vessels, exemplified by recent contracts for ocean-going tugs and Alucat crew boats to bolster operational effectiveness, particularly in the challenging West Africa market.

In the fiscal year ending December 31, 2023, the five largest customers represented approximately 37.3% of total revenues.

The acquisition of Swire Pacific Offshore Holdings Limited in April 2022 significantly bolstered Tidewater's asset base, adding 50 offshore support vessels primarily operating in West Africa and Southeast Asia. Additionally, in March 2023, Tidewater agreed to acquire 37 platform supply vessels from Solstad Offshore ASA, a transaction valued at approximately $594.2 million.

The requirement of compliance with regional laws, such as the Jones Act in the U.S., adds another layer of complexity to operations; it mandates U.S. ownership for vessels operating within U.S. waters, which positions Tidewater favorably in regions governed by such regulations.

F. Seasonality and Operational Flexibility

Operational activities are subject to seasonal fluctuations, particularly in regions prone to severe weather. Warm months generally see heightened offshore activity, while hurricane seasons can hinder operations, particularly in the Gulf of Mexico. Despite the potential for such interruptions, overall demand for offshore services tends to be more influenced by global oil and gas prices than by seasonal variations.

Tidewater’s geographical dispersion of assets and the ability to mobilize vessels efficiently enables it to adapt to changing demands and utilize market opportunities as they arise across different regions.

G. Regulatory Environment

Tidewater’s operations are framed by a stringent regulatory environment that encompasses both international and domestic laws. This includes compliance with the International Labour Organization's Maritime Labour Convention and U.S. federal regulations impacting safety and operational protocols. Vessels under U.S. flag must adhere to regulations enforced by the U.S. Coast Guard, as well as international environmental laws that govern emissions and discharges.
