A. Company Overview
Perpetua Resources Corp. is a company incorporated under the Business Corporations Act of British Columbia on February 22, 2011, initially operating under the name "Midas Gold Corp." The organization underwent a name change to "Perpetua Resources Corp." on February 15, 2021. The company is headquartered in Boise, Idaho, U.S.A., with an additional registered office located in Vancouver, British Columbia, Canada. As a development-stage corporation, it primarily engages in acquiring mining properties with the intention of exploration and potential production.
The focal project for Perpetua Resources is the Stibnite Gold Project located in Idaho. The company aims to explore, evaluate, and potentially redevelop various mineral deposits within this area, subject to necessary permitting. Currently, it is involved in an intensive permitting process to enable the redevelopment and restoration of the Stibnite Gold Project.
B. Principal Business Activities
Perpetua Resources mainly focuses on the exploration and development of the Stibnite Gold Project, which is rich in gold, silver, and antimony deposits. The specific areas of interest within the Stibnite Gold Project include three key deposits: the Hangar Flats Deposit, West End Deposit, and Yellow Pine Deposit. In addition to exploring these deposits, the company also intends to reprocess certain historical tailings from the project site. This redevelopment will be complemented by an extensive restoration program aimed at addressing environmental impacts arising from past mining activities in the area.
The company’s land position at the Stibnite Gold Project comprises approximately 11,548 hectares, which includes a combination of unpatented federal lode claims, unpatented federal mill sites, patented lode mining claims, and patented mill sites. As of December 31, 2023, Perpetua Resources holds 1,672 unpatented lode claims and mill sites. The acquisition of these mineral rights has been achieved through a mix of transactions, including purchases, staking under the 1872 Mining Law, and arrangements via option agreements.
C. Corporate Structure
Perpetua Resources operates through a few key subsidiaries that manage its interests and operations. Perpetua Resources Idaho, Inc. (PRII) serves as the designated operating entity responsible for managing activities at the Stibnite Gold Project site, but does not own any interest in the project itself. The entity that holds the title to the project is Idaho Gold Resources Company, LLC (IGRCLLC), which came into existence through a merger with Stibnite Gold Company (SGC) on June 3, 2021. Both PRII and IGRCLLC are wholly owned subsidiaries of Perpetua Resources.
IGRCLLC manages ownership of the Yellow Pine, Hangar Flats, and West End deposits, along with various patented mill sites and unpatented federal lode mining claims and mill sites.
D. Permitting and Environmental Commitment
The redevelopment of the Stibnite Gold Project is subject to rigorous environmental regulations, including various national, state, and local laws that govern mining operations. The company’s commitment to environmental stewardship includes complying with the National Environmental Policy Act (NEPA), which mandates thorough environmental reviews of projects that could significantly affect human and ecological environments.
The U.S. Forest Service has begun a formal review of the project as required under NEPA since 2016, which has led to the preparation of a Draft Environmental Impact Statement (DEIS) in 2020. Following public and agency feedback, Perpetua Resources presented a refined proposal known as the Modified Mine Plan, which was identified by the U.S. Forest Service as the Preferred Alternative in its Supplemental Draft Environmental Impact Statement (SDEIS) released in October 2022.
Additionally, the project is impacted by historical contamination, prompting the organization to engage in voluntary cleanup activities under the Comprehensive Environmental Response, Compensation, and Liability Act (CERCLA) via an Administrative Settlement Agreement and Order on Consent (ASAOC) with the U.S. Environmental Protection Agency (EPA) and U.S. Department of Agriculture. The estimated costs of remediating environmental impacts have risen over the years due to several contributing factors, including inflation and project scope changes.
E. Regulatory Compliance
Perpetua Resources is committed to adhering to extensive operating regulations and compliance requirements. The company is continuously engaged in monitoring compliance with federal, state, and local mining laws, including those pertaining to air and water quality, waste disposal, and safety standards. This compliance includes obtaining the necessary licenses and permits to conduct mining and exploration activities.
The company is also aware of competitive pressures within the gold exploration sector, where competition for desirable properties and skilled personnel is intense. Such competitive dynamics could affect the company’s ability to advance the Stibnite Gold Project and pursue additional mining opportunities.
F. Management and Workforce
As of December 31, 2023, Perpetua Resources employed 33 full-time employees and 2 part-time employees, with the majority working at the Stibnite Gold Project in Idaho. The workforce comprises personnel directly involved in mineral development, while others are focused on management and administrative functions. Additionally, the organization engages contracted specialists for project-related activities requiring specific skills.
