A. Company Overview

NiSource Inc. is an energy holding company that operates under the Public Utility Holding Company Act of 2005. It is primarily recognized for its fully regulated natural gas and electric utilities serving approximately 3.8 million customers across six states in the United States. The company was originally formed as an Indiana corporation in 1987 with the name NIPSCO Industries, Inc. and officially became NiSource Inc. on April 14, 1999.

As a significant player in the energy sector, NiSource's structure includes key principal subsidiaries, predominantly the NiSource Gas Distribution Group, Inc., which encompasses several Columbia gas subsidiaries in Kentucky, Maryland, Ohio, Pennsylvania, and Virginia, as well as the Northern Indiana Public Service Company (NIPSCO), which provides both gas and electric service.

On November 7, 2022, NiSource revealed plans to seek a minority investor for its subsidiary NIPSCO, resulting in an agreement with Blackstone on June 17, 2023. This strategic move culminated in the closing of the NIPSCO Minority Interest Transaction on December 31, 2023, where all membership interests in NIPSCO were contributed to a newly formed entity, NIPSCO Holdings II. In exchange, Blackstone invested $2.16 billion for a 19.9% interest in the company.

B. Business Strategy

The core business strategy of NiSource is focused on delivering safe and reliable energy services through its regulated utilities, aimed at creating value for all stakeholders. This strategy involves substantial investments in infrastructure and environmental initiatives while embarking on customer-focused regulatory and legislative initiatives across its operational states. NiSource targets long-term infrastructure investments that align tariff structures with costs, enhance customer service experiences, maintain affordability, and minimize emissions while securing sustainable financial returns.

The company is dedicated to strengthening its Safety Management System (SMS), a structured operating model to enhance public and employee safety. Notably, in 2022, NiSource achieved a significant milestone by receiving certification to the American Petroleum Institute Recommended Practice 1173, further underscoring its commitment to safety practices and operational excellence.

C. Reportable Segments

NiSource's operations are divided into two primary reportable segments: Gas Distribution Operations and Electric Operations, with additional non-significant operations categorized under Corporate and Other.

Gas Distribution Operations

The natural gas distribution segment serves approximately 3.3 million customers across multiple states through subsidiaries, providing gas services to diverse residential, commercial, and industrial consumers. The operational footprint encompasses around 55,000 miles of distribution pipelines and 1,000 miles of transmission pipelines, ensuring extensive reach within the service territories.

The segment competes in an evolving market characterized by deregulation and open access to natural gas supplies, allowing customers to procure resources from various producers. A notable percentage of residential (25.9%) and commercial (34.7%) customers engage with third-party supply programs, reflecting the competitive landscape. Seasonal fluctuations impact sales, with revenue peaks expected during the winter months.

Electric Operations

Electric Operations primarily serve about 0.5 million customers in Northern Indiana, providing generation, transmission, and distribution services through NIPSCO. This segment is increasingly transitioning towards renewable energy sources, including operational wind and solar projects. NIPSCO aims to retire traditional coal-generating assets and replace them with a diversified resource portfolio, as outlined in its Integrated Resource Plans.

NIPSCO’s transmission system is extensive, with approximately 2,920 circuit miles and multiple substations in operation. The company oversees both direct electricity provision and wholesale transactions within the MISO (Midcontinent Independent System Operator) market, managing regulatory compliance while enhancing electric reliability.

D. Competition

In both gas and electric segments, NiSource faces competitive pressures, including other regulated utility companies and alternative energy sources. The gas division contends with not only traditional sources but also various fuels like propane and fuel oil. Electric Operations have a more stable competitive regulatory framework, limiting customer choice in supplier selection. This exclusivity contrasts with the gas sector, where customers exhibit preference for natural gas due to its market competitiveness.

E. Regulatory Landscape

NiSource operates in an intricate regulatory environment that is continually evolving, encompassing federal and state-level policies affecting operational and financial performance. Regular compliance with the Federal Energy Regulatory Commission (FERC) guidelines and state Public Utility Commissions is essential for maintaining service efficiency and regulatory compliance.

New regulations and environmental laws directly influence operational practices, as industry regulators impose mandates related to emissions reduction, infrastructure safety, and cost recovery mechanisms. NiSource actively engages in dialogue with regulators to remain agile and compliant amidst these ongoing changes.

F. Environmental and Safety Matters

Environmental stewardship forms the backbone of NiSource's operational philosophy. The company implements strategies to mitigate detrimental environmental impacts while navigating regulatory guidelines set forth by agencies like the Environmental Protection Agency (EPA). Regulatory developments under the PIPES Act of 2020 underscore the company's commitment to pipeline safety and reducing methane emissions, significantly shaping its operational strategy.

Employees are involved in comprehensive safety, integrity, and compliance training that adheres to industry best practices. NiSource treats safety as paramount, driving initiatives to enhance both public safety and environmental sustainability across its service areas.

G. Future Directions

Looking ahead, NiSource is poised to build on its strategic direction, emphasizing net-zero greenhouse gas emissions by 2040. This ambitious goal entails substantial investments in clean technology and infrastructure, accompanied by innovative service offerings. The company's adaptation to emerging energy technologies such as hydrogen utilization reflects a commitment to evolving energy paradigms, ensuring a robust foundation for future growth and sustainability.
