Kris Project Earn-In Agreement

On June 6, 2023, Magellan entered into a memorandum of understanding with Gold Express Mines, Inc. to pursue an earn-in agreement for a 50% working interest in the Kris Project located in Plumas County, California. The agreement stipulates that Magellan will allocate $400,000 toward project expenses over the next three years, conditional upon obtaining necessary permits.

Additional Transactions

On January 4, 2024, a separate agreement was formed with Gold Express Mines to acquire certain mineral assets for stock shares, with the total consideration being calculated as an asset acquisition leading to the capitalization of associated costs on the balance sheet.
