The Convertible Notes will accrue interest at a rate of 2.875% per annum, with interest payments occurring semi-annually starting from April 15, 2026. The notes will mature on October 15, 2031, unless converted, repurchased, or redeemed before that date.

3. Conversion and Redemption Features

The Convertible Notes can only be converted under specific conditions before July 15, 2031, after which conversion can occur at any time until two trading days before maturity. Upon conversion, holders may receive common stock, cash, or a combination thereof.

The company is also restricted from redeeming the Convertible Notes before October 20, 2028, and can only do so if certain conditions are met, including maintaining the notes as "freely tradable" and achieving a specific stock price performance.

4. Planned Redemption of 2026 Notes

Following the Convertible Notes offering, Live Nation intends to issue a conditional full redemption notice for its 2026 notes on November 8, 2025. This redemption is contingent upon securing at least $302,437,500 in gross proceeds from the Convertible Notes offering.

5. Upcoming Financing Strategy

In conjunction with the Convertible Notes offering, Live Nation is preparing to amend its existing senior secured credit facility. The expected new terms include a $1.3 billion term loan B facility, a $700 million delayed draw term loan A facility, and a $1.3 billion multicurrency revolving credit facility, among others. Notably, the closing of these new financing arrangements is not contingent on the sale of the Convertible Notes.
