1. A Promising Asset for Epilepsy Treatment

SAN2355 is a subtype-selective activator of Kv7.2/Kv7.3 potassium channels, currently in preclinical development. This unique mechanism is validated for its efficacy in seizure suppression, differentiating it from existing non-selective Kv7-targeting compounds. Due to its selective action, SAN2355 has the potential to minimize the adverse effects commonly associated with off-target activation, positioning it as a best-in-class candidate in the treatment landscape for epilepsy.

2. Financial Terms of the Agreement

Under the terms of the licensing agreement, Saniona will receive an upfront payment of $42.5 million. Additionally, the agreement includes a potential for Saniona to earn up to $192.5 million in development and regulatory milestones, with a specific milestone payment of $7.5 million upon the initiation of the first Phase 1 clinical study.

Saniona is also eligible for up to $800 million in commercial milestone payments based on the achievement of significant net sales thresholds. Furthermore, tiered royalties ranging from mid-single digits to low-double digits on net sales of any commercial products resulting from the development of SAN2355 will be provided to Saniona.
