A. Company Overview
Industrial Logistics Properties Trust (ILPT) was organized as a Real Estate Investment Trust (REIT) under Maryland law in 2017, focusing on the ownership and leasing of industrial and logistics properties throughout the United States. B. Acquisition of Monmouth Real Estate Investment Corporation
In 2022, ILPT expanded its portfolio through the acquisition of Monmouth Real Estate Investment Corporation (MNR). This was executed via a merger of MNR with one of ILPT's wholly-owned subsidiaries, which brought 124 Class A, single-tenant, net leased industrial properties to ILPT's holdings. This acquisition added approximately 25,745,000 rentable square feet to ILPT's portfolio and included two additional property acquisitions that were in the pipeline during the merger.
Part of the strategy involved entering into a joint venture with institutional investors for 95 of the properties acquired from MNR. However, this joint venture arrangement was not without its challenges, as the merged entity later terminated the agreement regarding one of the new property acquisitions.
