Intermodal Challenges

Conversely, the Intermodal segment faced headwinds due to a reduction in port activity and softness with key customers. Reported EBITDA fell to $5 million from $10 million a year ago, with the margin declining to 10.1% from 16.4%. This segment's struggles underscore the ongoing challenges in the logistics landscape.

The company reported consolidated revenue of $582 million for the first quarter, down from $613 million a year earlier. Consolidated EBITDA stood at $70 million, with a last twelve months basis totaling $304 million. Encouragingly, liquidity improved to $402 million, the highest cash balance in the last two years, comprising $141 million in cash and $261 million available under the credit facility.

Operating cash flows also showed a significant improvement, reaching $46 million compared to $28 million in the first quarter of 2025, reflecting a year-over-year increase of 65.6%.

Forward Air is currently engaged in discussions with one of its largest customers regarding the potential transition of a significant portion of their business to other providers. While no formal notices of termination have been delivered, this customer accounted for approximately $250 million in revenue for the fiscal year ended December 31, 2025. The company remains committed to retaining as much of this business as possible and is currently navigating the transition discussions.

In January 2025, Forward Air's Board of Directors initiated a review of strategic alternatives aimed at maximizing shareholder value. Although the process did not yield any actionable proposals for a sale, the Board remains open to enhancing shareholder value through the potential sale of non-core assets, including the Intermodal segment and smaller Omni businesses. This strategic focus aims to streamline operations and further concentrate on service-sensitive logistics across various channels.
