A. Company Overview

First Hawaiian, Inc. (FHI) is a prominent bank holding company incorporated in the state of Delaware, with its headquarters situated in Honolulu, Hawaii. Established in 1858 originally as Bishop & Company, First Hawaiian Bank (FHB) operates as the company's wholly-owned banking subsidiary. FHB holds the distinction of being the first successful banking partnership in the Kingdom of Hawaii and is the second oldest bank established west of the Mississippi River. As of December 31, 2023, FHB stands as the largest full-service bank headquartered in Hawaii, measured by assets, loans, deposits, and net income.

As of the end of 2023, FHI reported total assets amounting to approximately $24.9 billion, with $14.4 billion in gross loans and leases, $21.3 billion in deposits, and $2.5 billion in stockholders' equity. For the fiscal year ending December 31, 2023, FHI achieved a net income of $235.0 million, translating to diluted earnings of $1.84 per share.

FHB operates a network of 50 branches across key markets, which include 45 branches in Hawaii, three branches in Guam, and two in Saipan. The bank provides a diversified array of banking services targeting both consumer and commercial clients, including deposit products, various lending services, wealth management, and trust services.

B. Business Segments

FHI conducts its banking operations through three primary segments: Retail Banking, Commercial Banking, and Treasury and Other.

Retail Banking

The Retail Banking segment focuses on consumer banking services. It offers a variety of deposit accounts such as checking and savings accounts, as well as an array of consumer lending options, including residential real estate lending, indirect auto financing, personal loans, and credit cards. The segment aims to cultivate long-term relationships with consumers, emphasizing high-quality service and repeat positive experiences.

Commercial Banking

The Commercial Banking segment serves middle-market and larger businesses based in Hawaii, providing comprehensive commercial banking services. This includes commercial and industrial lending, commercial real estate financing, construction lending, and specialized services such as auto dealer flooring. The segment targets businesses with robust balance sheets and high-quality collateral to mitigate credit risks adequately.

Treasury and Other

The Treasury and Other segment involves the management of the company’s assets, liabilities, liquidity, and funding strategies. This segment contributes to corporate financial strategies such as investment management, capital allocation, and cash flow management.

C. Products and Services

First Hawaiian Bank is positioned as a full-service community bank, offering an extensive range of financial products and services:

  1. Deposit Accounts: Multiple types of deposit accounts tailored for both consumer and business customers, including checking accounts, savings accounts, and time deposits.
  2. Lending Services:

- Consumer Lending: Focused on mortgage lending, personal installment loans, and auto financing.

- Commercial Lending: Includes loans for commercial real estate, construction projects, and business lines of credit, among others.

  1. Wealth Management: The bank provides investment management, financial planning, and trust services. Wealth management offerings also include estate planning and private banking aimed at high-net-worth individuals.
  2. Credit Cards: The bank offers various credit card products, catering to both personal consumers and businesses.
  3. Merchant Processing: Services designed to facilitate card and electronic payment processing for businesses.

D. Competition

Operating within the highly competitive financial services industry, FHI contends with various competitors, including commercial banks, credit unions, non-bank financial entities, and financial technology firms. These competitors range from local institutions to large mainland banks, which target similar customer demographics.

Furthermore, the evolution of customer preferences—coupled with advancements in technology—has enabled banks and non-bank entities to provide services via online platforms, increasing competition for traditional branch banking services. FHI’s ability to maintain a competitive edge relies heavily on attracting and retaining skilled employees while effectively managing operational costs.

E. Organizational History

First Hawaiian, Inc. went public in August 2016, with shares being traded on the NASDAQ Global Select Market under the ticker symbol "FHB." Prior to the IPO, FHI was wholly owned by BNP Paribas, a global financial institution based in France. Following a series of reorganization transactions in April 2016, FHI adopted its current name, while First Hawaiian Bank remained its sole direct subsidiary. The bank has since transitioned, becoming independent as BNP Paribas fully divested its ownership stake in 2019.

F. Regulatory Environment

FHI operates in a well-regulated environment, subjected to extensive federal and state banking laws designed to ensure the safety and soundness of financial institutions. The company’s operations are governed by several regulatory bodies, including the Federal Reserve, the FDIC, and the Hawaii Department of Financial Institutions.

The bank is required to comply with capital adequacy regulations and operational standards mandated under federal banking laws. These regulations include stringent requirements surrounding capital ratios, lending practices, and consumer protection provisions.
