1. Details of the Offering

Etsy's convertible senior notes carry a 1.00% interest rate, payable semiannually on June 15 and December 15, starting December 15, 2025. The notes will mature on June 15, 2030, unless earlier converted, redeemed, or repurchased by Etsy. The initial conversion rate is set at 11.6570 shares of Etsy's common stock per $1,000 principal amount, which translates to an initial conversion price of approximately $85.79 per share—indicating a premium of about 42.5% over Etsy's last reported stock price on June 11, 2025.

The offering also includes an option for initial purchasers to acquire an additional $50 million of the notes within a 13-day period from the initial issuance date, reflecting strong investor interest and confidence in Etsy’s future.

2. Use of Proceeds

Etsy anticipates net proceeds from the offering to be around $639.3 million, or approximately $688.5 million if the additional notes option is fully exercised. The company plans to allocate approximately $150 million of these proceeds towards repurchasing its own common stock at a repurchase price of $60.20 per share, which aligns with the last reported sale price prior to the announcement. The remaining funds will be directed toward general corporate purposes, potentially including the repayment or repurchase of existing debt securities.

3. Redemption and Conversion Features

The notes come with flexible features for both the company and noteholders. Etsy retains the right to redeem the notes for cash starting June 20, 2028, provided that the company's stock price exceeds 130% of the conversion price for a specified period. In addition, should a "Fundamental Change" occur, noteholders may require Etsy to repurchase their notes at par value plus accrued interest.

Furthermore, Etsy may adjust the conversion rate in certain corporate events, enhancing the attractiveness of the notes for investors.
