A. Company Overview

CPS Technologies Corp. (CPS) is a provider of advanced material solutions for various industries, including transportation, automotive, energy, computing/internet, telecommunications, aerospace, and defense. The company specializes in metal matrix composites (MMCs) and offers custom components for systems in these industries.

B. Products and Services

CPS's primary material solution is metal matrix composites (MMCs). They design, manufacture, and sell custom metal matrix composite components that enhance the performance and reliability of systems in the transportation, automotive, energy, computing/internet, telecommunications, aerospace, and defense markets.

The company's products are used in various applications such as high-speed trains, mass transit, hybrid and electric cars, wind turbines, routers, switches, fiber optic components, avionics, satellites, microprocessors, and graphics processing chips. These products enable higher performance and improved energy efficiency in electrical energy use or generation.

CPS also produces lightweight armor using its proprietary MMC technology. The armor is known for its ability to withstand extreme environments and high threat levels. It is used in the U.S. Navy's crew served weapons station program, as well as in aircraft and other vehicles requiring high strength to weight ratio.

C. Market Segments and Strategy

CPS operates in multiple high-growth end markets, including transportation, automotive, energy, computing/internet, telecommunications, aerospace, and defense. The company focuses on providing advanced material solutions to these segments, leveraging its expertise in metal matrix composites.

CPS aims to be a key player in the movement towards alternative energy and green lifestyles. Their products are important in electrifying the green economy and protecting military personnel. They cater to customers at all stages of the technology adoption lifecycle.

D. Marketing and Target Group

CPS primarily sells its products to major microelectronics systems houses in the United States, Europe, and Asia. These customers purchase prototype and evaluation quantities of products over a one to three-year period before moving on to purchasing production volumes.

The company's products are targeted towards companies in the electronics, aerospace, and defense industries that require high-performance and reliable components. CPS's materials and composites offer improved thermal conductivity, thermal expansion matching, stiffness, and lighter weight, making them suitable for applications that demand higher performance and heat management.

E. Business Processes and Intellectual Property

CPS utilizes proprietary processes, including the Quickset Injection Molding Process and the QuickCast Pressure Infiltration Process, to manufacture their products. These processes allow for the production of net shape components with minimal or no final machining.

The company holds several patents in the United States and internationally, covering its technological developments. They continue to seek patent protection and rely on trade secret protection when appropriate to preserve their competitive position.

F. Company History

CPS was incorporated in Massachusetts in 1984 and reincorporated in Delaware in 1987. They completed their initial public offering in 1987 and changed their name from Ceramics Process Systems Corporation to CPS Technologies Corp. in 2007.

G. Markets and Products Overview

Electronics Markets

The electronics industry can be divided into power processing and signal processing. Power processing involves converting electrical power into the appropriate voltage and amperage, while signal processing uses digital and analog signals in computing, communications, and related applications.

In both power processing and signal processing, there is a demand for products that operate with lower losses and/or at higher speeds, are smaller in size, and operate with higher reliability. The challenge for designers is managing the heat generated by systems operating at higher speeds and/or higher power.

CPS's metal matrix composites (MMCs) address these challenges by providing superior thermal conductivity, improved thermal expansion matching, greater stiffness, and lighter weight compared to conventional materials. The company's MMC components are used at various levels of electronic assemblies, from integrated circuits to circuit boards and system-level applications.

Armor Markets

Traditional armor has been made of steel panels, but the weight of steel has limited its use in weight-sensitive applications. Ceramic armor has been used as an alternative, but it has limitations in multi-hit capability. CPS's solution is to embed ceramic armor tiles in a metal matrix, creating armor that is lightweight, offers excellent ballistic protection, and withstands extreme environments.

CPS's HybridTech Armor® panels are well-suited for applications in extreme environments such as salt spray and extreme heat. These panels have been selected for the U.S. Navy's crew served weapons station program and are expected to be used in surface vessel applications.

H. Specific Markets and Products

CPS provides products for specific markets and applications, including motor controller applications (Insulated Gate Bipolar Transistor or IGBT applications) and hermetic packages.

Motor Controller Applications (IGBT Applications)

The growing electrification of the economy has increased the demand for power controllers, particularly in high-power applications such as trains, subways, industrial equipment, and cost-effective variable speed drives. CPS provides baseplates and heat spreaders on which power semiconductors, such as IGBTs, are mounted to produce motor controller modules.

CPS's MMC baseplates have high thermal conductivity and thermal expansion rates that ensure reliability over time as the assembly thermally cycles. The company's baseplates are used in electric trains, subway cars, wind turbines, hybrid and electric vehicles, and continue to find new applications in the automotive industry.

Hermetic Packages

Hermetic packages are used in space applications, flight applications, and undersea applications where multiple semiconductor devices need to be assembled. CPS is the only producer of hermetic packages with AlSiC bases, which offer reduced weight and CTE matching, critical for space-based programs. CPS's hermetic packages are used in GPS satellites, the Mars Perseverance rover, and various aerospace applications.

I. Customers and Competition

CPS sells primarily to major microelectronics systems houses in the United States, Europe, and Asia. The company's three largest customers accounted for a significant portion of revenue in 2022. Approximately 65% of CPS's revenue came from commercial applications, while 35% came from defense-related applications.

CPS faces competition from other producers of metal matrix composites, hermetic packages, armor, and other materials. Their main direct competitor in metal matrix composites is Denka, a Japanese chemical company. They also face potential competition from manufacturers in China seeking to penetrate their markets. In the hermetic packages segment, CPS competes with companies like Egide, Ametek, and Qnnect.

J. Government Regulation and Environmental Considerations

CPS produces non-nuclear, non-medical hazardous waste in its manufacturing and development operations, requiring compliance with state and federal regulations for waste disposal. The company may also engage in export and import activities regulated by bureaus within the Departments of Commerce, State, and Treasury.

CPS emphasizes environmental durability and sustainability in its product offerings. They use raw materials available from domestic and foreign sources, and none of their materials include conflict metals.

K. Employees

As of December 31, 2022, CPS had 86 permanent full-time employees. Most of the employees are engaged in manufacturing and engineering, while others are involved in sales, administration, finance, human resources, and general management. The company also employs additional manufacturing personnel through temporary employment agencies.

CPS focuses on increasing factory efficiency through employee training and increased automation. The company maintains an excellent relationship with its employees, and none of them are covered by a collective bargaining agreement.
