A. Company Overview

Capital Bancorp, Inc. is a bank holding company based in Maryland, established in 1998. The company primarily operates through its wholly owned subsidiary, Capital Bank, N.A., which functions as a commercial-focused community bank catering to the Washington, D.C. and Baltimore metropolitan areas. The institution aims to serve a diverse clientele, including businesses, not-for-profit associations, and entrepreneurs across its operating regions.

Headquartered in Rockville, Maryland, Capital Bank employs a branch-lite model that emphasizes efficiency. This approach involves operating four commercial bank branches, one mortgage office, and two loan production offices, optimizing its resource allocation while providing essential banking services.

The organizational structure of Capital Bank is categorized into three primary divisions: Commercial Banking, Capital Bank Home Loans, and OpenSky™. These divisions reflect a blend of traditional banking functions alongside innovative financial services aimed at reaching underserved demographics.

B. Divisions of Capital Bank

Commercial Banking Division

The Commercial Banking division plays a crucial role in driving Capital Bank's operations. It serves clients predominantly in the Washington, D.C and Baltimore metro areas, offering personalized banking services tailored to business needs. The division specializes in a variety of commercial lending products, including commercial and industrial (C&I) loans, commercial real estate loans, lender finance loans, and construction loans.

Lender finance loans are extended to businesses for acquiring and extending finance receivables, secured primarily by these receivables. Construction lending remains a core competency, with a concentrated focus on commercial and residential building projects, creating opportunities for short-duration, higher-yield loans.

Furthermore, this division is dedicated to diversifying Capital Bank's funding sources, emphasizing the growth of core deposit funding in contrast to wholesale funding. A team of business development officers is tasked with fostering relationships that promote deposit growth and overall financial stability.

Capital Bank Home Loans Division

The Capital Bank Home Loans (CBHL) division is charged with originating residential mortgage loans on a national scale. CBHL focuses on both conventional and government-guaranteed loans, primarily selling these into the secondary mortgage market while retaining a portfolio of high-quality loans.

In response to fluctuating interest rates and changing market dynamics, CBHL has shifted its focus toward purchase originations. In 2023, an impressive 91.7% of loan originations were from home purchases, marking a substantial increase from the previous year. A significant portion of these loan transactions occurs within Capital Bank’s operating markets, particularly in Maryland, Virginia, and Washington, D.C.

OpenSky™ Secured Credit Card Division

The OpenSky™ division offers a suite of credit cards aimed at under-banked populations. This includes secured, partially secured, and unsecured credit card options, which cater to individuals looking to improve their credit scores. The secured credit cards require a minimum deposit, which serves as collateral, and allow for a simple application process devoid of traditional credit checks.

Introduced in 2021, the unsecured credit card product enhances the continuum for clients transitioning from secured credit products to unsecured credit options. OpenSky™ cards leverage a fully digital platform for customer engagement, allowing for an efficient and user-friendly experience.

The division's model efficacy is illustrated by its analytics, which enable the monitoring of consumer behaviors and risk assessments on a per-user basis. This data-driven approach assists in identifying potential credit risks while providing insights for optimizing profitability.

C. Subsidiaries and Special Purpose Entities

In addition to the aforementioned divisions, Capital Bancorp includes Church Street Capital as a wholly owned subsidiary. Church Street Capital specializes in originating and servicing a portfolio of mezzanine loans that yield higher returns, albeit with a fitting level of risk.

Capital Bancorp also has a vested interest in the Capital Bancorp (MD) Statutory Trust I, a non-consolidated entity dedicated to issuing trust preferred securities, further diversifying its financial offerings while enhancing capital structure.

D. Business Strategy

Capital Bancorp employs a multifaceted business strategy to navigate the complexities of modern banking. The strategy emphasizes technology-driven solutions and advice-based services aimed at fostering organic loan growth and enhancing core deposit structures to maximize shareholder value.

Key Strategic Components:

  1. Customer-Centric Solutions: Financial partnerships are cultivated through personalized, advice-driven banking solutions tailored to the needs of clients, fostering sustainable growth opportunities.
  2. Technological Integration: Investments in fintech capabilities aim to streamline operations, enhance customer experiences, and build operational efficiencies, reducing reliance on traditional staffing models.
  3. Consumer Fee-Based Platforms: Targeted growth in consumer fee-based services is driven by innovative products, allowing the bank to address market dislocations and capture emerging opportunities.
  4. Opportunistic Acquisitions: The organization maintains a proactive approach to potential acquisitions, focusing on expanding its footprint within the Washington, D.C., and Baltimore markets while exploring specialty finance collaborations.

E. Employee Structure

As of December 31, 2023, Capital Bancorp employs a workforce of 299 individuals, with the majority being full-time employees. The organization prides itself on fostering a collaborative culture guided by core values that emphasize ownership, balanced risk management, and innovative thinking.

F. Regulatory Environment

Capital Bancorp operates within a rigorous regulatory framework. It is subject to oversight by federal and state banking regulators, including comprehensive examinations conducted by both the Federal Reserve and the Office of the Comptroller of the Currency (OCC). Compliance with regulations encompassing consumer protection, capital adequacy, and anti-money laundering programs ensures that the Bank maintains operational integrity within the financial landscape.

The establishment of a solid framework allows the institution to focus on strategic growth while adhering to the regulatory obligations governing the banking sector.
