A. Company Overview

Cass Information Systems Inc. (referred to as "Cass" or the "Company") operates as a prominent enterprise providing payment and information processing services for large manufacturing, distribution, and retail entities across the United States. The company’s core offerings encompass freight invoice rating, payment processing, auditing, as well as the generation of accounting and transportation information. It also engages in processing and paying facility-related invoices, which includes expenses such as electricity, gas, waste management, and telecommunications. As a notable player in the realm of telecom expense management, Cass extends a suite of solutions that includes integrated payments and a business-to-business payment platform, catering to clients requiring an agile fintech partner.

In addition to these services, Cass has diversified its portfolio by introducing church management software solutions and an online platform designed for generosity services aimed at faith-based and nonprofit organizations. The operational framework of Cass is augmented by its bank subsidiary, Cass Commercial Bank. This financial entity bolsters the Company's payment operations and offers traditional banking services, primarily targeting privately held businesses in the St. Louis metropolitan area, restaurant franchises, and faith-based ministries throughout the United States.

B. Business Strategy and Core Competencies

Cass distinguishes itself as an information services company primarily focused on processing payables and related transactions for large corporations within the U.S. The Company's strategic initiatives are anchored by four key core competencies:

Data Acquisition

This involves the systematic gathering of data from a variety of heterogeneous sources to build comprehensive databases tailored for clients. Cass collects crucial data from complex documents, electronic media, proprietary databases, and data feeds, including vendor invoices and client procurement and sales systems. This expansive data collection enables the creation of centralized data management systems and warehouses, ultimately enhancing clients' management of critical corporate functions.

Data Management

Following data assembly, Cass utilizes the resultant information to generate substantial savings and benefits for its clients. The integration of this information into customers' accounting systems eliminates the need for internal accounting processing and provides necessary support for financial operations. The data is also instrumental in producing management and exception reports, aiding in operational control and performance evaluation.

Business Intelligence

Cass emphasizes the timely delivery of information in an accessible format. Through its proprietary internet management delivery system, the company effectively disseminates reports, digital images, data files, and retrieval capabilities either via the internet or directly integrated into client internal systems. This system is fundamental in supplying transaction, operational, and processing exception information, thus serving as a reliable asset for customers.

Financial Exchange

A distinguishing feature of Cass is its ownership of Cass Commercial Bank, which enables the Company to manage fund movements between clients and their suppliers. This unique capability facilitates efficient financial exchanges, replacing outdated, costly check processing with modern electronic cash management systems.

Cass effectively employs these core competencies to achieve high volumes of transaction processing in an integrated manner, enhancing both efficiency and accuracy. This operational focus allows Cass to capitalize on its capabilities continuously, exploring new business opportunities that further leverage its strengths.

C. Marketing, Customers, and Competition

In the competitive landscape, Cass operates through its Transportation Information Services business unit, positioning itself as one of the largest firms in the transportation bill processing and payment industry in the U.S., measured by the total dollars of transportation bills processed. The competitive environment comprises several primary competitors alongside numerous smaller firms, with competition relying largely on price, functionality, and service levels.

Cass is uniquely positioned within the Utility Expense Management sector as one of the foremost providers of utility information processing and payment services. Unlike many competitors, Cass maintains independence from any specific energy service provider, allowing it to offer bespoke services that add value through auditing, consulting, and technology capabilities tailored for various energy service companies (ESPs).

Within the Telecom Information Services sector, Cass holds a leading position in telecom expense management, contending against other U.S.-based companies. Furthermore, in the Waste Expense Management domain, the Company ranks among the largest providers of waste invoice management solutions.

Through its TouchPoint division, Cass serves faith-based and nonprofit organizations, providing both church management software and online generosity services, which align with the Bank's target markets. Additionally, CassPay serves as a corporate payments solutions provider, further expanding its competitive reach.

The Bank, established in 1906, operates within the framework of a Missouri trust company with banking powers. Originally classified as a bank holding corporation in 1982, Cass has transitioned through various phases, including becoming a financial holding company in 2011. The Bank focuses on delivering banking services tailored primarily for privately held businesses and faith-based entities in selected U.S. cities.

D. Intellectual Property

Cass has developed a robust portfolio of trademarks pertinent to its payment and rating services, which includes FreightPay®, Ratemaker®, Best Rate®, CassPort®, and Cass Freight Index®, among others. Moreover, the Company holds patents for various systems and methods related to expense management.

E. Client Base and Employee Structure

As of February 2024, Cass employed 1,061 full-time and 255 part-time employees across its operations, including 66 full-time employees within the Bank. Cass's organizational structure and operational dynamics rely heavily on the retention of skilled employees. This emphasis on talent is considered essential for the Company’s future performance.

The Company’s client base is extensive and varied, removing significant dependency on any singular customer or customer group. This diversity helps mitigate risks associated with economic fluctuations.
