A. Company Overview
AGNC Investment Corp. (referred to as "AGNC" or the "Company") is a prominent real estate investment trust (REIT) that focuses on providing private capital to the U.S. housing market, facilitating liquidity in residential real estate mortgage markets, and promoting home ownership in the United States. Established on January 7, 2008, AGNC began its investment operations following its initial public offering on May 20, 2008. The Company's common stock is publicly traded on The Nasdaq Global Select Market under the ticker symbol "AGNC."
The primary investment strategy of AGNC centers on Agency residential mortgage-backed securities (RMBS), which are securities backed by residential mortgage loans that are guaranteed by government-sponsored enterprises (GSEs) such as Fannie Mae and Freddie Mac, or by government agencies like Ginnie Mae. In addition to these guaranteed securities, AGNC has the flexibility to invest in various assets related to the housing, mortgage, or real estate markets that may not possess similar guarantees.
AGNC operates with the objective of qualifying as a REIT under the Internal Revenue Code, requiring it to distribute at least 90% of its taxable income to shareholders. This structure generally shields the Company from federal and state corporate income taxes, provided that income distribution requirements are met. Emphasizing long-term shareholder returns, AGNC manages its portfolio with a focus on generating income from investments while maintaining a substantial yield component.
B. Investment Management Strategy
AGNC employs an active management approach, continuously adjusting the composition of its investment portfolio and funding strategies according to market conditions. The key objectives of the management strategy encompass delivering attractive risk-adjusted returns primarily through monthly dividends, maintaining a significant allocation towards Agency RMBS, leveraging discrepancies in market valuations, and effectively managing various financial risks.
The Company aims to remain compliant with the tax requirements imposed on REITs, while achieving the exemption from regulations under the Investment Company Act of 1940.
C. Targeted Investments
AGNC's asset selection remains fundamental to its investment approach, with a predominant focus on Agency RMBS, considered essential to the U.S. financial system. The total Agency market, valued at approximately $9 trillion, serves to provide liquidity for residential purchases and refinances. The investment team, composed of seasoned professionals with extensive experience in Agency RMBS, meticulously evaluates assets based on their risk-return profiles and broader market dynamics, deploying advanced modeling techniques to optimize returns over the duration of investments.
Agency Securities
Agency RMBS consist of mortgage-backed securities that distribute monthly payments of principal and interest from underlying mortgage pools to the investors, following deductions for guarantee and servicing fees. AGNC may also invest in Agency collateralized mortgage obligations (CMOs), which are structured instruments composed of a pool of Agency RMBS.
To-Be-Announced Forward Contracts
To-Be-Announced (TBA) contracts represent forward purchase or sale agreements for Agency RMBS. These contracts outline the coupon rate, issuer, term, and face value, with the specific bonds determined shortly before the settlement date.
Non-Agency Securities
AGNC also allocates part of its investments towards non-Agency securities, which involve more substantial risks:
- Credit Risk Transfer (CRT) Securities: These securities enable a portion of credit loss risks associated with conventional mortgage pools to be allocated to private investors, but lack guarantees of full principal repayment.
- Non-Agency RMBS: Comprising pools of residential mortgages issued by private entities, these securities may carry structural credit enhancements.
- Commercial Mortgage-Backed Securities (CMBS): These are backed by loans secured by commercial properties, potentially including various tranches with differing risk-weighted cash flow distribution.
D. Financing Strategy
AGNC thrives on leveraging its investments in Agency RMBS through collateralized borrowings known as repurchase agreements (repos). Repos allow the Company to sell assets with an agreement to repurchase them later, typically on a short-term basis, which improves returns. Funding rates largely depend on prevailing benchmark rates and market liquidity.
Strategically, AGNC strives to utilize leverage responsibly, typically aiming for a ratio of six to twelve times its tangible stockholders’ equity. It diversifies funding sources by entering into repos with multiple counterparties and also through its wholly owned broker-dealer subsidiary, Bethesda Securities, LLC (BES), which enables enhanced borrowing capacity and reduced funding costs.
Additionally, AGNC utilizes TBA dollar roll transactions to manage liquidity and extend exposure to Agency RMBS, recognizing TBA contracts on its balance sheet as derivative instruments.
E. Risk Management Strategy
Given the leveraged nature of its investments, AGNC places a strong emphasis on risk management. The Company faces numerous market risks including interest rate fluctuations, prepayment, extension, spread, and credit risks. An ongoing assessment of these risks informs the Company’s investment and hedging activities. The goal is to optimize overall portfolio returns while safeguarding net book value.
To address these various risks, AGNC employs diverse hedging strategies and dynamically adjusts its hedge portfolio alongside leverage to align with market movements. While hedging limits risk exposures, these strategies may also suppress short-term earnings and dividends as the Company prioritizes the long-term stability of returns.
F. Corporate Information
AGNC's headquarters is located at 7373 Wisconsin Avenue, 22nd Floor, Bethesda, MD 20814. Its structure as a REIT and its strategies geared towards managing interest rate and credit risks position AGNC as a competent player in the mortgage investment sector. The Company’s success is contingent on its ability to efficiently navigate the competitive landscape of capital acquisition and asset management.
